1. Acceptance of Terms

By accessing and using the Munio Platform (the "Platform"), you agree that you have read, understood, and agree to be bound by the Terms and Conditions contained herein (the "Terms") and all applicable laws and regulations. All rights in and to the content of the Website remain at all times expressly reserved by Munio.

2. Description of Services

Munio provides an online facilitation investment platform that enables users to search for and invest in real-world assets, currencies and financial instruments that are tokenized and made available by eligible private companies. Users can browse available investment opportunities, make investments, and manage their portfolio through the Platform. Munio makes the process of engagement simple by operating as an intermediary, assisting both parties in the conclusion of their private transaction facilitated via the Website. Munio also allows users to: access the Website to view the progress of their assets, where applicable; transfer their funds to their chosen bank account; and have the sale of their assets at the appropriate maturation stage facilitated by Munio for the user’s benefit. The Website and these Terms are subject to change without notice. These Terms are updated or amended from time to time and will be effective upon Munio uploading the amended Terms to the Website. Your continued access or use of the Website constitutes your acceptance to be bound by the Terms, as amended. It is your responsibility to read these Terms periodically to ensure you are aware of any changes. Unauthorized use of the Website or a breach of these Terms by a user may give rise to a claim for damages and/or be a criminal offence.

a. Registration: To use the Platform, you may be required to create an account. You agree to provide accurate, complete, and current information during the registration process.

a. Transaction Fees: Some investment transactions conducted through the Platform may be subject to fees. These fees will be clearly disclosed before you confirm the transaction.

b. Payment Methods: You agree to pay for any investment transactions using the payment methods accepted by the Platform.

c. Returns/Refunds: Charges paid by you for completed investments are final and non-refundable. The Company has no obligation to provide refunds or credits, but may grant them, at the sole discretion of the company.

6. Intellectual Property

a. Ownership: All content and materials on the Platform, including but not limited to logos, trademarks, and software, are the property of Munio or its licensors and are protected by intellectual property laws.

b. License: Subject to compliance with these Terms, Munio grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes.

7. Limitation of Liability

a. No Liability for Third-Party Services: The Platform may integrate with third-party services for certain functionalities. Munio is not responsible for any acts or omissions of these third-party providers.

b. Disclaimer: The Platform is provided "as is," without any warranties or guarantees, and Munio disclaims all liability for damages resulting from its use.

8. Indemnification

You agree to indemnify and hold harmless Munio, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Platform or violation of these Terms.

9. Termination

Munio reserves the right to terminate or suspend your access to the Platform at any time and for any reason without notice.

10. Amendments

Munio may update or modify these Terms from time to time. Any changes will be effective upon posting within the Platform. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms and Conditions.

 

 

 

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts in South Africa.
